W&I insurance covers financial loss from a breach of warranties, tax covenant or indemnity in the sale and purchase agreement that was unknown to the insured at signing. It is a single-premium, non-renewable, claims-made policy written for the duration of the warranties and tax indemnity.

Typical warranty areas

Title and capacity; corporate structure; financial statements; material contracts; employment and pensions; real estate; intellectual property; IT and data protection; tax; and other agreed SPA warranties.

Practical benefits

A clean exit for sellers, stronger bids in competitive processes, direct recourse for buyers and protection for ongoing relationships. Enhanced cover may be available where appropriate.

What it does not normally cover

Known or disclosed matters, forward-looking performance, purchase price adjustments, fraud by the insured, uninsurable fines and penalties, and pension underfunding. Certain tax matters require additional review or a separate policy.

Tax Liability Insurance is written around a precise, identified tax position. If a tax authority successfully challenges that position, cover can include the resulting tax, interest, penalties where insurable, and defence costs. Policies are bespoke, single-premium and claims-made, usually covering the relevant enquiry period, often up to seven years.

Typical risks

Withholding tax and treaty relief; reorganisations; tax residency and permanent establishment; capital gains exemptions; transfer taxes; debt versus equity classification; interest deductibility; VAT; tax losses; and secondary liabilities on leaving a tax group.

Practical benefits

Keep deals on track, resolve risk allocation, reduce capital tied up in escrows and protect the deal model. Cover can also support selected standalone tax positions beyond M&A.

What it does not normally cover

Tax avoidance arrangements, matters already under audit or dispute, changes in tax law after binding, inaccurate underlying facts, fraud, uninsurable fines and penalties, and settlements without insurer consent. Cover responds only to the defined tax events in the policy.

Contingent risk and litigation products are written around an identified non-tax legal exposure. Each policy defines the insured risk and the events that trigger a loss, with covered loss shaped to the exposure. Policies are usually single-premium and claims-made, typically with one aggregate limit and a period of up to seven years. ATE premiums may sometimes be partially deferred and contingent.

Typical risks

Contingent risk insurance ring-fences a specific identified legal exposure; litigation buyout / adverse judgment insurance protects defendants against an unfavourable judgment or award; after-the-event insurance covers adverse costs exposure; judgment preservation insurance protects a successful claimant if a judgment or award is reversed, reduced or annulled; award default insurance covers enforcement and/or collection risk.

Practical benefits

Keep deals on track, resolve risk allocation, release escrows and provisions and protect the deal model. Cover can also unlock financing or monetisation of a claim, judgment or award, allow a claimant to pursue its case without carrying adverse costs, and give a defendant certainty on the cost of an unresolved dispute. These products work inside and outside M&A.

What it does not normally cover

Risks that have already crystallised or are reasonably foreseeable at binding, inaccurate or incomplete disclosure of the underlying facts, changes in law after binding, fraud, uninsurable fines and penalties, costs incurred outside the agreed conduct provisions, and settlements without insurer consent. Cover responds only to the defined trigger events in the policy.

Cover is subject to underwriting, policy terms, exclusions and agreed limits.
